This Hold Harmless Agreement is made and entered into on this _____ day of ____________________, 20___, by and between______________________________________ hereinafter referred to as the "Customer" and TRANSITION ASSOCIATES, INC., d/b/a NAKEDAN THE HANDYMAN, hereinafter referred to as "Contractor" as follows:

1. Contractor shall be considered to be an independent contractor pursuant to this Agreement.

2. The Contractor’s hourly rate shall be at the rate of $____________ per hour. The Customer agrees to pay in advance the sum of $___________ to the Contractor prior to any work being initiated. Pricing estimates by the Contractor, its employees and/or agents shall be charged at the rate of $_________ per estimate.

3. The Customer agrees to provide any and all materials which are needed to complete the agreed upon repair(s). If the materials provided by the Customer are incorrect or additional materials are needed, then the Contractor will charge a trip charge in the amount of $_______ to cover the costs of obtaining and bringing the materials to the requested job site. If, however, the Contractor obtains the materials and they are incorrect, no additional trip charge will be payable by Customer.

4. The Customer hereby agrees that the maximum amount of Customers/Observers of the Job Performance shall be no greater than ____________ people.

5. The Customer hereby agrees that the Contractor, its employees and/or agents will make any and all requested and/or agreed upon repair(s) and/or pricing estimates in various states of undress including being completely nude. Any and all requested repair(s) and/or pricing estimates will be completed by the Contractor inside the premises of the Customer and out of the complete view of the public. The Customer acknowledges that any and all residents of the premises are aware that the work is being performed in various states of undress and may include being completely nude. The Customer shall not have any minor children present while the Contractor is making any repairs and/or pricing estimates. The Customer shall close any and all window shades and/or window treatments of any type until the completion of the requested work. The Customer agrees that no photographs of any nature may be taken of the Contractor, its employees and/or agents, unless it has been previously agreed upon between the parties. The Customer further agrees that neither the Contractor nor Customer shall perform any sexual acts or have any intimate contact with the Customer or the Contractor.

6. The Customer hereby agrees to indemnify and hold harmless the Contractor, against any and all claims of any nature whatsoever that may be asserted by the Customers against the Contractor with regard to his various states of undress including being completely nude.
